Terms of service

The agreement between your store and our software, covering billing through Shopify, acceptable use, hosting, Bulgarian law and liability.

These Terms of Service govern your use of ninety9.dev and of the Shopify applications published by Ninety 9 LTD (Addy, Addly, Goalify, Monet and Reviso). By accessing the website or installing an app, you agree to be bound by these terms. If you do not agree, do not use the services.

It is your obligation to stay up to date with these terms. The current version is always published at /terms.html.

1. The service

Ninety 9 LTD provides software as a service, delivered through the Shopify App Store, designed to help merchants increase average order value and improve post-purchase operations. Each app's functionality is described on its App Store listing and on this website.

We may add, change or remove features. We will not remove a material feature you depend on without notice inside the app. Storefront widgets are built to fail safe: if our service is unreachable, the widget does not render and your store continues to function normally.

2. Your account

Your right to use an app is tied to the Shopify store it is installed on. You agree to provide accurate and current information and to keep your Shopify account credentials confidential. You are responsible for the configuration you create, for the accuracy of offers, discounts, shipping promises and customer-facing copy you publish, and for keeping your Shopify account secure.

By installing and using an app, you accept responsibility for reviewing and monitoring any order changes, customer communications, workflows, automations or actions performed through that app. You remain solely responsible for the operation of your store, compliance with applicable laws, fulfilment of orders, customer-service obligations and all business decisions made in connection with the apps.

3. Fees and payments

Some features require payment. All charges are handled by Shopify's billing API and appear on your Shopify invoice. Prices are in USD. Recurring charges are billed on the schedule Shopify sets (typically every 30 days).

Where an app has usage-based tiers, the tier is determined by the metric published on that app's App Store listing. We may modify our pricing for new customers, introduce paid plans where a free plan existed, or offer different pricing models to different customers. For a charge a merchant has already accepted, we cannot change the price or terms of that accepted Shopify subscription or usage charge. Accepted charges are binding and managed directly through Shopify's billing system.

You may cancel a subscription or usage charge at any time from your Shopify admin. Uninstalling an app cancels the recurring charge going forward. Refunds are not guaranteed; a refund may be considered where a merchant was charged for unused time of a service in the Shopify ecosystem. Shopify's own refund rules apply to amounts already billed.

4. Acceptable use

You agree to use the services in compliance with all applicable laws, consumer-protection rules in the markets you sell to, and Shopify's policies. You must not:

  • Publish offers you cannot honour, display false urgency or fabricated scarcity, or misrepresent shipping costs or delivery windows.
  • Attempt unauthorised access, reverse-engineer, modify, resell, rebrand or tamper with the software.
  • Use the service for fraudulent, abusive or illegal activities, or to send unsolicited messages.
  • Attempt to disrupt or overload our infrastructure.

5. Data privacy

Our handling of personal data is described in the privacy policy, which forms part of these terms. You remain the data controller for your customers' data; we act as processor, except where we act as an independent controller for our own business records as described in that policy. By using the services you consent to processing as set out there.

6. Third-party hosting

We use third-party cloud hosting services to store and manage our databases, applications and collected data. We take security seriously and bind providers by contract, but we are not liable for data breaches, vulnerabilities or downtime caused solely by those third-party providers.

7. Availability

We aim for continuous availability but do not guarantee uninterrupted, error-free or fully compatible service. Software is inherently complex; errors, bugs, delays or unexpected behaviour may occur despite reasonable testing and maintenance. Storefront widgets fail safe as described in section 1.

8. Intellectual property

The software, brand names and the content on this website belong to Ninety 9 LTD. You keep everything you create with the apps — your offers, copy, designs and data.

9. Disclaimer of warranties

The apps and this website are provided "as is" and "as available". To the maximum extent permitted by law, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the services will always operate without errors, interruptions, bugs, delays, inaccuracies or other defects, or that they will be compatible with every Shopify theme or store configuration.

10. Limitation of liability

To the maximum extent permitted by applicable law, Ninety 9 LTD, its owners, directors, employees, contractors, affiliates and partners shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, financial, commercial or other damages arising out of or related to the use of, inability to use, or reliance upon the services.

This limitation includes, without limitation, loss of profits, loss of revenue, loss of business opportunities, loss of customers, loss of goodwill, fulfilment errors, shipping costs, chargebacks, data loss, operational interruptions, changes made through the apps to merchant stores, and actions affecting a merchant's end customers — even if we have been advised of the possibility of such damages.

Our aggregate liability for any claim is limited to the amount you paid us for the relevant app in the twelve months before the claim arose. Nothing here limits liability that cannot be limited by law.

11. Termination

You may uninstall an app at any time from your Shopify admin. We may suspend or terminate access if you violate these terms, engage in harmful activities, or put our infrastructure or other merchants at risk, and we will explain why when we do.

12. Changes to these terms

We may modify these Terms of Service at any time. Changes will be indicated by the "Last updated" date above and may be communicated via this website, inside the app, or by email. Continued use of the services after an update constitutes acceptance of the revised terms.

13. Governing law

These terms are governed by the laws of the Republic of Bulgaria. Any disputes shall be resolved by the competent courts of Bulgaria, or through binding arbitration where applicable. Consumer-protection rights available to you in your own country of residence are unaffected.
